(1)
There shall be a Governing Council (hereinafter referred to as the “Council”) responsible for the management, control and administration of the Institute.
(2)
The Council shall consist of—
(a)
President and Vice-President elected by the members of the Institute among its membership;
(b)
the following ex-officio members :—
(i)
the Governor of the Central Bank of Sri Lanka or his nominee;
(ii)
the President of the Institute of Chartered
Accountants of Sri Lanka or his nominee who is a current member of the Council of the
Institute;
(iii)
the Head of the Department of Accounting of the University of Sri Jayawardanapura or his nominee; and
(c)
three members elected by the members of the
Institute among its membership.
(3)
The members of the Council of the Society of Certified
Management Accountants of Sri Lanka holding office on the day immediately preceding the date of the coming into operation of this Act, shall be the members of the first Council of the Institute established herein, and shall hold office for a period of four years.
(4)
Elections for the election of members in terms of paragraphs (a) and (c) of subsection (2) shall be conducted in accordance with the rules of the Council.
