71. Defence in criminal or civil liability

It shall be a defence in any criminal or civil proceeding for anything done or omitted to be done by-

(a)

an exchange; or

(b)

any person acting on behalf of an exchange including-

(i)

any director of the exchange; or

(ii)

any member of any committee established by the exchange, to prove that the exchange or the person under paragraph (b) took all reasonable care and acted in good faith in the course of or in connection with the discharge of its obligations under this Act, regulations, rules or directives made thereunder or the rules of such exchange.
