76. Notice of refusal to register transfer

Where a company refuses to register a transfer of any shares or debentures, the company shall within two months from the date on which the transfer was lodged with the company, send to the transferee a notice of such refusal.
Where a company fails to comply with the provisions of subsection (1)—
the company shall be guilty of an offence and be liable on conviction to a fine not exceeding fifty thousand rupees; and
every officer of the company who is in default shall be guilty of an offence and be liable on conviction to a fine not exceeding fifty thousand rupees.
