53. Offences by persons

(1)

Where an offence under this Act is committed by a person, such person shall be guilty of an offence.

(2)

Where an offence under this Act is committed by a person that is–

(a)

a body corporate, every director, manager, or secretary of that body corporate;

(b)

a firm, every partner of that firm; or

(c)

an unincorporate body other than a firm, every member of such body, shall be guilty of such offence:

Provided however, that no person shall be deemed to be guilty of an offence if he proves that the offence was committed without his knowledge and that he exercised all due diligence to prevent the commission of that offence.
