115. Requirement to change registered office

The Registrar may require a company to change its registered office by notice in writing delivered or sent—
to the company at its registered office ; and
to each person who appears from the documents delivered to the Registrar to be a director of the company, at his latest address as shown in those documents.
The notice which shall be dated and signed by the
Registrar, shall—
state that the company is required to change its registered office by a date specified in the notice, not being a date that is earlier than twenty working days after the date of receipt of the notice ;
state the reasons for requiring the change ; and
state that the company has the right to appeal against such requirement to court under section 472 ;
The company shall change its registered office—
by the date stated in the notice ; or
if it appeals to court and the appeal is dismissed, within five working days after the decision of the court.
Where a company fails to comply with this section—
the company shall be guilty of an offence and be liable on conviction to a fine not exceeding fifty thousand rupees ; and
every officer of the company who is in default shall be guilty of an offence and be liable on conviction to a fine not exceedting fifty thousand rupees.
