120. Public inspection of company records

(1)

A company shall keep the following records available for inspection in the manner described in section 121 by any person who serves written notice of such intention to inspect on the company, :—

(a)

the certificate of incorporation of the company ;

(b)

the articles of the company, if they are not the model articles ;

(c)

the share register ;

(d)

the register of directors and secretaries ;

(e)

particulars of the registered office of the company ;

(f)

copies of the instruments creating or evidencing charges and the register of charges kept under sections 109 and 110.

(2)

Where a company fails to comply with the requirements of subsection (1)—

(a)

the company shall be guilty of an offence and be liable on conviction to a fine not exceeding two hundred thousand rupees ; and

(b)

every officer of the company who is in default shall be guilty of an offence and be liable on conviction to a fine not exceeding one hundred thousand rupees.
