Part XII · Winding Up

320. Notice of resolution to wind up voluntarily

(1)

When the company has passed a resolution for voluntary winding up, it shall within fourteen days from the date of the passing of the resolution, give notice of the resolution by publication in the Gazette.

(2)

Where the company fails to comply with the provisions of this section —

(a)

the company shall be guilty of an offence and be liable on conviction to a fine not exceeding one hundred thousand rupees; and

(b)

every officer of the company who is in default shall be guilty of an offence and be liable on conviction to a penalty not exceeding fifty thousand rupees.

(3)

For the purposes of this section, the liquidator of company shall be deemed to be an officer of the company.
