446. Execution of documents

A receiver may execute in the name and on behalf of the company, all documents necessary or incidental to the exercise of the receiver’s powers.
A document signed on behalf of a company by a receiver, shall be deemed to have been properly signed on behalf of the company for the purposes of section 19.
Notwithstanding anything to the contrary in any other law or the articles of association of a company, where the instrument under which a receiver is appointed empowers the receiver to execute documents and to use the company’s common seal for that purpose, the receiver may executive documents in the name and on behalf of the company by affixing the company’s common seal to the documents, and attesting the affixing of the common seal.
Any document which is executed in the manner prescribed in subsection (3), shall be deemed to have been properly executed by the company.
