8. Governing Board of the Central Bank

There shall be established a Governing Board of the Central Bank (in this Act referred to as the “Governing
Board”) which is charged with the responsibility of overseeing the administration and management of the affairs of the Central Bank and the determination of general policy of the Central Bank other than the monetary policy.
The Governing Board shall consist of the following members: -
the Governor of the Central Bank who shall be the
Chairperson of the Governing Board; and
six members who shall have expertise in
Economics, Banking, Finance, Accounting and
Auditing, Law or Risk Management.
The Secretary to the Governing Board who shall be an employee of the Central Bank shall be nominated by the
Governor of the Central Bank.
The members of the Governing Board other than the
Chairperson shall discharge supervisory and policy formulation functions of the Central Bank and shall not discharge any executive function of the Central Bank.
The powers, duties and functions of the Governing
Board shall be to-
take general policy decisions other than monetary policy;
take enforcement measures, including issuing instructions to the financial institutions, regulating payment, clearing and settlement systems, and taking remedial actions, and to appoint a receiver for such institutions;
take administrative measures, as provided for by this Act or any other written law;
formulate the corporate strategy of the Central
Bank;
approve the budget of the Central Bank;
approve annual accounts and financial statements of the Central Bank;
organize the Central Bank and the general framework regulating the powers, duties and functions of the employees of the Central Bank;
prepare schemes for appointments, promotions and the exercise of disciplinary control over the employees of the Central Bank;
appoint the Chief Internal Auditor of the Central
Bank;
oversee the financial reporting, risk management, compliance, information technology, security and internal control system of the Central Bank;
supervise the administration of the Central Bank;
adopt policies including accounting policies and procedures of the Central Bank in line with internationally recognized accounting standards;
approve the internal audit report prepared by the
Audit Committee of the Central Bank and monitor implementation of the internal auditor’s recommendations in the Central Bank; and
generally, do all such acts and things as are necessary for, or incidental or conducive to the administration and management of the Central
Bank and to give effect to the provisions of this
Act.
The Governing Board may, in writing, delegate the functions specified in paragraphs (b) and (c) of subsection (5) to the Governor of the Central Bank.
The Governing Board may establish specialized boards and sub-committees to assist in supervising the administration and management of the Central Bank.
The Governing Board may make such rules as it may consider necessary in relation to any matter affecting or connected with or incidental to the exercise, performance and discharge of the powers, duties and functions of the
Central Bank.
The Governing Board may utilize the funds of the
Central Bank for the purpose of meeting all expenditures incurred by the Central Bank in the administration, management and operation of the Central Bank and in the exercise, performance, and discharge of the powers, duties and functions of the Central Bank.
