408. Overseas companies

(1)

An application may be made to the court for the liquidation of an overseas company.

(2)

An application may be made under subsection (1)

whether or not the overseas company –

(a)

is a registered overseas company;

(b)

has given notice under section 496 of the

Companies Act that it has ceased to have a place of business in Sri Lanka; or

(c)

has been dissolved or otherwise ceased to exist as a company under or by virtue of the laws of any other jurisdiction.

(3)

Part XII applies to the liquidation of an overseas company, except that –

(a)

references to a company shall be taken to include references to an overseas company; and

(b)

section 349 shall not apply.
