316. Documents to refer to liquidation

Official English translation. Where it differs from the Sinhala or Tamil text, the Act itself says which text prevails.

(1)

For so long as a company is in liquidation, the liquidator shall ensure that –

(a)

every document issued or signed by or on behalf of the company or the liquidator shall have the words “in liquidation” after the name of the company where it first appears; and

(b)

if the company has one or more websites, each page of each website shall state prominently that the company is in liquidation.

(2)

A failure to comply with subsection (1) shall not affect the validity of –

(a)

a person’s appointment as liquidator; or

(b)

any document.

(3)

Every person who fails to comply with subsection (1)

commits an offence.
