236. Execution of documents by administrator

Official English translation. Where it differs from the Sinhala or Tamil text, the Act itself says which text prevails.

(1)

An administrator may execute in the name and on behalf of the company all documents necessary or incidental to the exercise of the administrator’s powers.

(2)

A document signed on behalf of a company by an administrator shall be deemed to have been properly entered into on behalf of the company for the purposes of section 19

of the Companies Act.

(3)

Notwithstanding anything to the contrary in any other written law or in the articles of a company, an administrator may execute documents in the name and on behalf of the company by affixing the company’s common seal to the documents and attesting the affixing of the common seal.

(4)

A document executed in the manner described in subsection (3) shall be deemed to have been properly entered into by the company for the purposes of section 19 of the

Companies Act.
